1. Introduction

These Terms and Conditions govern access to and use of SimplifyClient, a SaaS platform for client management, projects, invoices, payments, collections, reporting, and related services. By creating an account or using the service, you agree to these Terms.

2. Definitions

"SimplifyClient", "we", "us", and "our" refer to SimplifyClient. "Customer", "user", and "you" refer to the person or organization using the service. "Workspace" means the agency account created in the product. "User Content" means data, files, invoices, client records, messages, and other content submitted to the service.

3. Account Registration

You must provide accurate account information, maintain control of your login credentials, and promptly update account details. You are responsible for all activity that occurs under your account and workspace.

4. User Responsibilities

You are responsible for the legality, accuracy, and completeness of client, invoice, payment, tax, and business information entered into SimplifyClient. You must use the service in compliance with applicable law and your agreements with clients.

5. Acceptable Use Policy

You may not misuse the service, attempt unauthorized access, interfere with service operation, upload malicious code, send unlawful or abusive communications, violate privacy rights, or use SimplifyClient for fraudulent billing, harassment, or illegal activity.

6. Subscription Plans

SimplifyClient may offer Starter, Growth, Pro, trial, promotional, or custom plans. Features, limits, and prices may vary by plan and may change with notice where required by law.

7. Billing and Payments

Subscription billing is processed through third-party payment providers such as Stripe. You authorize recurring billing for paid plans unless cancelled. Taxes may apply. Agencies using connected payment integrations are responsible for their own client payment processing, refunds, disputes, and payout settings.

8. Free Trial Terms

Free trials are provided for evaluation. Unless cancelled or otherwise stated, access may convert to a paid subscription after the trial period. Trial eligibility may be limited to one trial per workspace, company, payment method, or user.

9. Refund Policy

Fees are generally non-refundable except where required by law or expressly stated in writing. If you believe a billing error occurred, contact support@simplifyclient.com promptly.

10. Intellectual Property

SimplifyClient, including software, design, logos, trademarks, workflows, and documentation, is owned by SimplifyClient or its licensors. No rights are transferred except the limited right to use the service under these Terms.

11. User Content

You retain ownership of User Content. You grant SimplifyClient the rights needed to host, process, transmit, back up, display, and secure User Content to provide and improve the service.

12. Third-Party Services

SimplifyClient integrates with services such as Stripe, PayPal, email providers, AI providers, and optional messaging providers. Your use of third-party services is subject to their terms, policies, and availability.

13. Service Availability

We work to keep SimplifyClient reliable, but do not guarantee uninterrupted or error-free service. Maintenance, provider outages, internet issues, or force majeure events may affect availability.

14. Limitation of Liability

To the maximum extent permitted by law, SimplifyClient is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Our aggregate liability is limited to amounts paid for the service in the three months before the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold SimplifyClient harmless from claims, damages, liabilities, costs, and expenses arising from your use of the service, User Content, violation of these Terms, or violation of law or third-party rights.

16. Data Processing

SimplifyClient processes personal data to provide the service, secure accounts, process payments, send operational communications, support customers, and comply with legal obligations. Additional privacy details are in the Privacy Policy.

17. Termination

You may cancel your subscription or request account deletion. We may suspend or terminate access for non-payment, security risk, misuse, or violation of these Terms. Certain records may be retained where required by law or legitimate business purposes.

18. Governing Law

These Terms are governed by the laws applicable to the company operating SimplifyClient, excluding conflict-of-law rules. Courts with proper jurisdiction over that company will handle disputes unless mandatory law provides otherwise.

19. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the service, email, or website. Continued use after changes become effective means you accept the updated Terms.
